The entire contents of the Site are protected by international copyright and trademark laws. The owner of the copyrights and trademarks is Simpsonated, its affiliates, or other third-party licensors. YOU MAY NOT MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE THE MATERIAL ON THE SITE, INCLUDING TEXT, GRAPHICS, CODE, AND/OR SOFTWARE. You may print and download portions of material from the Site for personal, non-commercial use, provided that you do not change or remove any copyright or proprietary notices.

You grant Simpsonated a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works, publicly display and perform any materials and information (including, without limitation, ideas for new or improved products and services) submitted to public areas of the Site or via email. Simpsonated also has the right to use your name in connection with the submitted materials and related marketing and promotional content. Simpsonated makes no representations about any other web site which you may access through this Site. Any links to non-Simpsonated sites do not imply endorsement or responsibility for the content.

Indemnification

You agree to indemnify, defend, and hold harmless Simpsonated, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the Service from any losses, damages, costs, or expenses (including reasonable legal fees) resulting from any violation of this Agreement by you or any person accessing the Site using your credentials.

Third Party Rights

The provisions regarding Use of the Site and Indemnification are for the benefit of Simpsonated and its officers, directors, employees, agents, licensors, suppliers, and third-party information providers. Each of these entities has the right to assert and enforce these provisions directly.

5. Term; Termination

This Agreement may be terminated by either party without notice at any time. Provisions concerning Copyright, Licenses, Use of the Site, Indemnification, Third Party Rights, and Miscellaneous shall survive any termination of this Agreement.

6. Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of Australia. Any legal action between Simpsonated and you regarding this Agreement shall be brought in an Australian court of competent jurisdiction. Any claim must be filed within one (1) year of its arising, or it will be barred. Simpsonated's failure to enforce any provision shall not be deemed a waiver. Simpsonated may assign its rights and duties under this Agreement without notice.
